Terms of Service

Welcome to SPRO.

These Terms and Conditions ("Terms") constitute a legally binding agreement governing your access to and use of the SPRO system (the "Service"), including all security guardrails for large language model (LLM) interactions, features, APIs, web applications, integrations, and related tools. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

SPRO is an AI Secure Gateway and Multi-Model Routing Platform that provides a controlled layer between applications, AI agents, developers, organizations, and third-party AI model providers. The Service may provide model routing, provider selection, AI guardrails, security controls, policy enforcement, request and response inspection, monitoring, usage controls, governance features, and related capabilities depending on the Service configuration and plan you use.

If you are using the Service on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" include both you individually and that entity where applicable.

1. Service Overview

SPRO provides infrastructure and software that enables users to connect applications and AI workflows to multiple AI models and providers through a controlled gateway. SPRO may route requests to different models or providers based on configurations, policies, availability, performance, cost, capability, data sensitivity, or other routing criteria supported by the Service.

AI guardrails and security controls are an integral part of the SPRO platform and may be applied to requests and responses processed through the Service. These controls may include detection or prevention mechanisms for sensitive information, prompt injection, jailbreak attempts, malicious content, policy violations, or other risks, depending on the configuration and capabilities available to you.

SPRO does not guarantee that any particular model, provider, routing decision, security control, detection mechanism, or generated output will always be available, accurate, complete, uninterrupted, or suitable for a particular purpose. Model availability, capabilities, pricing, performance, usage restrictions, and data practices may vary by provider and may change without notice.

SPRO may add, remove, replace, restrict, or modify models, providers, routing methods, security controls, integrations, or other components of the Service from time to time.

2. Eligibility and Accounts

You must be at least 18 years of age and legally capable of entering into a binding agreement to use the Service. By registering for or using SPRO, you represent that the information you provide is accurate, current, complete, and not misleading, and that your use of the Service complies with applicable laws and regulations.

You may be required to create an account to access certain features of SPRO. You are responsible for maintaining the confidentiality and security of your account credentials, API keys, access tokens, passwords, and other authentication information, and you are responsible for activities conducted through your account or credentials.

You agree to promptly notify SPRO if you become aware of unauthorized access, credential compromise, or any other security incident affecting your account. SPRO may temporarily suspend or restrict access where reasonably necessary to protect the Service, you, other users, or third parties.

Information provided during registration and account administration may be securely stored and processed as described in our Privacy Policy. We may use your registered contact information to provide service-related communications, security notifications, product updates, feature announcements, and other communications necessary to administer and support the Service.

3. AI Models and Third-Party Providers

SPRO may provide access to AI models and services operated by independent third-party providers. Your use of a particular model or provider may therefore be subject to additional terms, usage restrictions, privacy practices, acceptable use requirements, and other conditions imposed by that provider.

You are responsible for reviewing and complying with the applicable terms and requirements of the models and providers you choose to access through SPRO. Where provider requirements conflict with these Terms with respect to the use of a particular model or provider, the applicable provider terms will govern that specific use to the extent required by the provider.

Model providers may modify, restrict, suspend, discontinue, or otherwise change their models or services at any time. SPRO may similarly restrict or remove access to a model or provider where reasonably necessary to comply with provider requirements, applicable law, security requirements, or operational considerations.

You are responsible for determining whether a particular model, provider, routing configuration, and Service configuration is appropriate for your intended use, including where the Service is used for regulated, sensitive, high-impact, or customer-facing applications.

4. User Content and Responsibilities

You may submit text, prompts, files, images, code, data, instructions, or other materials through the Service ("Input") and may receive responses or other generated results from the Service ("Output"). Together, Input and Output are referred to as "User Content."

You retain the rights you hold in your Input. To the extent permitted by applicable law, any rights you may have in Output will depend on the applicable model, provider terms, and the nature of the Output. You are responsible for ensuring that you have all rights, permissions, licenses, and lawful bases necessary to submit your Input and to use the resulting Output.

You grant SPRO the limited rights necessary to host, process, transmit, route, inspect, secure, and otherwise use User Content solely as reasonably necessary to operate, provide, maintain, secure, and improve the Service in accordance with these Terms and our Privacy Policy. This may include processing User Content through applicable third-party AI model providers selected through the Service.

You are responsible for reviewing and validating Outputs before relying on them. AI-generated content may be inaccurate, incomplete, biased, inappropriate, or unsuitable for a particular purpose. SPRO does not guarantee the accuracy, reliability, legality, originality, or fitness of any Output.

You must not use SPRO as the sole basis for decisions that could materially affect an individual's legal rights, access to essential services, employment, education, healthcare, financial services, safety, or other high-impact outcomes without appropriate human oversight and any safeguards required by applicable law.

5. Acceptable Use

You agree to use SPRO only for lawful purposes and in accordance with these Terms, applicable laws and regulations, applicable model or provider terms, and reasonable security and responsible-use practices.

You may not use the Service to violate applicable law, infringe or misappropriate third-party rights, distribute malware, conduct fraud, facilitate unauthorized access, interfere with the Service or its infrastructure, circumvent access restrictions, or compromise the security or availability of SPRO or any connected system.

You may not attempt to bypass, disable, defeat, evade, or circumvent SPRO's security controls, guardrails, usage restrictions, routing restrictions, provider restrictions, or other protective mechanisms. You may not use SPRO to access a model or provider in a manner that is prohibited by the applicable provider's terms or restrictions.

You may not use the Service to develop, train, benchmark, or operate a competing AI gateway, routing platform, security gateway, or substantially similar service using SPRO's proprietary technology, non-public information, or protected materials, except where expressly permitted by applicable law or by written agreement with SPRO.

You may not use automated methods to disrupt, overload, scrape, reverse engineer, probe, or interfere with the Service, except to the extent expressly permitted by applicable law or authorized by SPRO in writing.

SPRO may suspend, restrict, or terminate access where it reasonably believes that the Service is being used in violation of these Terms, applicable law, provider requirements, or security policies, or where such action is reasonably necessary to protect the Service, its users, providers, or third parties.

6. Payments and Credits

Certain features or usage of SPRO may require payment of applicable fees, subscriptions, usage charges, or credits. Pricing, usage limits, billing terms, and applicable taxes will be presented through the Service or in an applicable order form, subscription agreement, or other commercial agreement.

You authorize SPRO or its designated payment processor to charge the payment method associated with your account for applicable fees. You are responsible for all charges incurred through your account, subject to any applicable refund, credit, or dispute terms presented at the time of purchase or agreed under a separate commercial agreement.

Promotional credits, trial credits, or other complimentary usage may be subject to additional conditions, expiration periods, usage restrictions, and may not have monetary value unless otherwise required by applicable law.

SPRO may change its pricing, usage limits, or billing structure from time to time. Material changes to fees for existing paid services will be communicated in accordance with applicable law or the terms of your applicable subscription or commercial agreement.

7. Privacy and Data Processing

Your use of SPRO involves the processing of information and User Content as necessary to provide the Service, including routing requests, connecting to selected AI model providers, applying security and guardrail controls, enforcing policies, maintaining account functionality, monitoring usage, preventing abuse, and supporting the Service.

Our collection, use, retention, disclosure, and protection of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.

For organizational and commercial customers, additional data processing terms may apply through a Data Processing Agreement ("DPA") or other written agreement. Where a DPA or negotiated enterprise agreement applies, its terms will govern to the extent of any conflict concerning the processing of personal data or confidential information.

You are responsible for ensuring that your use of SPRO and the data you submit through the Service comply with applicable privacy, data protection, confidentiality, sector-specific, and AI-related requirements applicable to your organization and use case. SPRO provides technical and organizational capabilities that may support such requirements but does not represent that use of the Service alone satisfies every legal or regulatory obligation applicable to you.

Where applicable, you should consider requirements arising under privacy and AI governance frameworks, including the EU AI Act, the Digital Personal Data Protection framework in India, and other applicable laws based on your jurisdiction, role, industry, and use case.

8. Intellectual Property and Confidentiality

SPRO and its licensors retain all rights, title, and interest in and to the Service, including its software, APIs, interfaces, technology, documentation, designs, trademarks, security mechanisms, routing technology, guardrail systems, and other proprietary materials provided by or on behalf of SPRO. Except for the limited rights expressly granted under these Terms, no rights are transferred to you.

Subject to your compliance with these Terms, SPRO grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your permitted business or personal purposes during the applicable subscription or Service period.

If you provide suggestions, feedback, ideas, or recommendations regarding SPRO, you grant SPRO the right to use such feedback without restriction or compensation to you, provided that SPRO does not use your confidential information in a manner inconsistent with these Terms.

Each party may receive non-public information from the other party in connection with the Service. Each party agrees to use reasonable care to protect the other party's confidential information and to use such information only for purposes related to the Service, except where disclosure is required by law or otherwise authorized by the disclosing party.

9. Service Availability, Suspension and Termination

SPRO aims to provide reliable and secure access to the Service but does not guarantee uninterrupted, error-free, or continuous availability unless expressly agreed under a separate Service Level Agreement or enterprise agreement.

The Service may be temporarily unavailable or degraded because of maintenance, upgrades, security incidents, infrastructure failures, third-party provider failures, network conditions, changes in model availability, or circumstances beyond our reasonable control.

You may stop using the Service or terminate your account in accordance with the applicable account or subscription process. SPRO may suspend, restrict, or terminate access if you materially breach these Terms, fail to pay applicable fees, create a security or legal risk, violate applicable model or provider terms, or use the Service in a manner that SPRO reasonably determines may harm the Service, its users, or third parties.

Upon termination, your right to access and use the Service will end, subject to any rights or obligations that by their nature should survive termination. Information and User Content will be handled in accordance with our Privacy Policy, applicable data retention requirements, and any applicable DPA or commercial agreement.

The Service and all related functionality are provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law. SPRO disclaims warranties regarding uninterrupted availability, accuracy of Outputs, effectiveness of security detections, model performance, provider availability, or suitability for any particular purpose.

To the maximum extent permitted by applicable law, SPRO and its affiliates, officers, employees, licensors, service providers, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Service, including losses arising from model outputs, provider failures, service interruptions, security incidents, or reliance on AI-generated or security-related results.

10. Changes to These Terms and General Provisions

SPRO may update these Terms from time to time to reflect changes to the Service, business practices, technology, security requirements, applicable laws, or regulatory requirements. We will make reasonable efforts to provide notice of material changes through the Service, email, or by posting an updated version of these Terms with a revised "Updated" date.

Your continued use of the Service after an updated version becomes effective constitutes acceptance of the revised Terms to the extent permitted by applicable law. If you do not agree with the revised Terms, you must stop using the Service.

These Terms, together with our Privacy Policy and any applicable DPA, order form, subscription agreement, enterprise agreement, or other written terms expressly incorporated into the relationship, constitute the agreement governing your use of SPRO. If there is a conflict between these Terms and a separately executed written agreement, the separately executed agreement will control to the extent of the conflict.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect to the extent permitted by applicable law. A failure by SPRO to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.
